EVMICO LTD Terms and Conditions

1. Services

EVMICO LTD provides professional services including but not limited to:

• consultation and project planning
• custom cabinetry design
• millwork fabrication
• residential cabinetry systems
• commercial cabinetry systems
• dental and medical cabinetry
• mobile cabinet systems
• delivery services
• installation services when included in the project scope

EVMICO LTD is not a general contractor and does not perform or supervise structural construction work including plumbing, electrical, drywall, flooring, tile installation, or structural modifications unless expressly agreed in writing.

2. Design Services

Initial consultation may be provided without charge.

Detailed design work including layout planning, drawings, and technical documentation begins only after receipt of the required design deposit.

3. Design & Project Initiation Deposit

A 10% non-refundable Design & Project Initiation Deposit is required to initiate project development.

The deposit:

• secures project scheduling
• covers design development and planning
• is credited toward the total project price if the project proceeds

4. Intellectual Property

All drawings, renderings, layouts, shop drawings, specifications, and design documentation prepared by EVMICO LTD remain the exclusive intellectual property of EVMICO LTD unless otherwise agreed in writing.

The Client may not reproduce, distribute, or use these documents for fabrication by any third party without written consent from EVMICO LTD.

Unauthorized use constitutes a violation of intellectual property rights.

5. Measurements

If measurements are provided by the Client or third parties, EVMICO LTD assumes no responsibility for inaccuracies.

Any additional costs resulting from inaccurate measurements will be the responsibility of the Client.

If measurements are taken by EVMICO LTD, they reflect the site conditions at the time of measurement. Subsequent changes to the project site may require design adjustments and additional charges.

6. Site Conditions and Project Readiness

Cabinetry and millwork are manufactured to fit existing site conditions.

The Client is responsible for ensuring the project site is ready for delivery and installation.

Minimum site readiness requirements include:

• completed framing and finished walls
• reasonably straight and plumb surfaces
• completed flooring
• finalized electrical and plumbing rough-ins

For wall-mounted cabinetry, appropriate structural backing (minimum ¾ inch plywood) must be installed prior to installation.

Renovation Projects

Final measurements may be verified only after:

• walls are completed
• surfaces are finished
• at least one coat of primer has been applied

Construction delays may affect production or installation timelines.

Existing Structures

Where walls or floors are uneven, cabinetry may require fillers, scribing, or adjustments.

Additional labor required due to site irregularities may be billed at $100 per hour.

7. Damage Caused by Other Contractors

EVMICO LTD is not responsible for damage caused by other contractors including painters, electricians, plumbers, flooring installers, or other trades.

Repairs resulting from such damage will be billed as additional service work.

8. Payment Terms

Projects Including Installation

• 10% — Design Deposit
• 40% — Production Start Payment
• 40% — Prior to Delivery
• 10% — Upon Installation Completion

Manufacturing-Only Projects

• 10% — Design Deposit
• 40% — Production Start Payment
• 50% — Prior to Delivery or Shipping

Products will not be released until full payment has been received.

9. Late Payments

Late payments are subject to interest charges of 3% per month (36% annually) or the maximum rate permitted by law.

EVMICO LTD reserves the right to:

• suspend work
• delay delivery
• postpone installation
• pursue collection actions

The Client agrees to reimburse EVMICO LTD for all costs associated with collection including attorney fees, court costs, and collection agency fees.

10. Ownership of Products

Title to all products remains with EVMICO LTD until full payment has been received.

11. Delivery

Delivery dates are estimates only.

EVMICO LTD is not responsible for delays caused by circumstances beyond its control including supplier delays, transportation disruptions, weather events, labor issues, or construction delays.

12. Storage

If the Client cannot accept delivery when the product is ready, EVMICO LTD may store the product for five (5) business days without charge.

After that period storage and handling fees may apply.

13. Delivery Inspection

The Client must inspect products upon delivery.

Visible damage must be reported within 48 hours.

14. Project Completion

Upon completion of installation the Client has three (3) business days to submit a written punch list.

If no punch list is provided within this period the project will be considered accepted.

15. Change Orders

Any modification to the original project scope must be documented in a written Change Order approved by both parties.

Change orders may affect:

• project price
• production schedule
• delivery timeline

16. Warranty

EVMICO LTD provides a one-year limited warranty covering defects in workmanship and materials.

The warranty does not cover:

• natural wood variation
• normal wear and tear
• misuse or improper handling
• water damage
• structural movement of the building

17. Limitation of Liability

To the maximum extent permitted by law, EVMICO LTD shall not be liable for indirect, incidental, special, or consequential damages including loss of use, lost profits, or project delays caused by third parties.

18. Media Rights

EVMICO LTD reserves the right to photograph and document completed work and use such materials for portfolio, marketing, and promotional purposes.

19. Privacy

EVMICO LTD may collect personal information necessary to provide services including contact details, project information, and technical browsing data.

The Company does not sell personal data.

20. Governing Law

This Agreement shall be governed by the laws of the State of New York.

21. Entire Agreement

This document constitutes the entire agreement between the parties and supersedes all prior discussions or agreements.
